HouseDesk Referral Partner Programme – Terms & Conditions

These Terms & Conditions apply to participation in the HouseDesk Referral Partner Programme (“Referral Programme”).
By joining the Referral Programme, requesting or using a HouseDesk referral link, or submitting a referral, you agree to these Terms.
1. The Referral Programme
The HouseDesk Referral Programme allows individuals and businesses (“Referral Partners”, “you” or “your”) to introduce new paying customers to HouseDesk in return for a referral commission when the conditions set out below are met.
Participation is voluntary. There are no minimum hours, sales targets or minimum number of referrals required.
HouseDesk may accept or decline an application to join the Referral Programme at its discretion.
You must be aged 18 or over to participate.
2. Referral Commission
The standard referral commission is:
£50 for each new Qualifying Customer Account referred to HouseDesk.
A “Customer Account” means one paying HouseDesk customer account.
A Customer Account may contain or manage multiple venues, locations or sites. Unless otherwise agreed in writing, only one referral commission is payable per Customer Account, regardless of the number of sites operated through that account.
For example, if a customer signs up for HouseDesk and manages five pubs through one HouseDesk account, this counts as one qualifying referral and one £50 commission.
Unless otherwise agreed in writing, the £50 commission is the total amount payable and is inclusive of VAT where applicable.
There is no standard limit on the number of separate qualifying Customer Accounts you may refer.
HouseDesk may offer different or promotional commission rates from time to time. Any different rate will apply only where it has been communicated to you in writing.
3. What Counts as a Qualifying Customer Account?
A referral becomes a “Qualifying Customer Account” when all of the following conditions have been met:
1. The customer is a genuine new HouseDesk customer.
2. The customer was introduced using your unique referral link, referral code or another referral method accepted by HouseDesk.
3. The customer creates a paid HouseDesk Customer Account.
4. The Customer Account remains active and paying for the required qualification period.
For customers paying monthly, the referral normally qualifies once the customer's second monthly subscription payment has been successfully collected and cleared.
If annual or upfront billing is offered, the referral normally qualifies once the Customer Account has remained active and paid for at least 60 days.
Free trials and free accounts do not count towards the qualification period until a paid subscription begins.
Payments that are subsequently refunded, reversed, disputed or subject to a chargeback may not count as successful payments.
4. Referral Attribution
Where possible, referrals should be made using your unique HouseDesk referral link or referral code.
HouseDesk may use cookies, referral codes, account records and other reasonable methods to determine which Referral Partner introduced a customer.
Where referral-link tracking is used, the standard attribution period is 90 days from the customer's most recent valid referral visit, unless HouseDesk states otherwise.
If more than one Referral Partner's link was used, HouseDesk will normally attribute the Customer Account to the most recent valid referral link or cookie present at the time the Customer Account is created.
If you personally introduce a potential customer without using your referral link, you should notify HouseDesk of the introduction before the customer signs up.
HouseDesk may manually attribute the customer to you where there is reasonable evidence that you made the introduction.
HouseDesk's records will be used to determine attribution, but HouseDesk will consider reasonable evidence supplied by a Referral Partner if an attribution is disputed.
5. Existing Customers and Existing Leads
Referral commission is not normally payable for:
- existing HouseDesk customers;
- businesses which already have an active or previously paid HouseDesk Customer Account;
- fraudulent or duplicate accounts;
- self-referrals;
- accounts created primarily for the purpose of earning referral commission; or
- customers already in an active HouseDesk sales process before the referral was made.
Adding additional venues, sites, staff or locations to an existing HouseDesk Customer Account does not create an additional referral commission.
If a potential customer has previously had only limited or historic contact with HouseDesk, HouseDesk may still choose to accept the referral where the Referral Partner has genuinely caused the customer to sign up.
HouseDesk will act reasonably when determining whether a referral qualifies.
6. Multi-Site and Group Customers
A HouseDesk Customer Account may manage one or multiple sites.
The referral commission is based on the Customer Account, not the number of venues or sites contained within it.
For example:
- One pub operating one site through one HouseDesk account = one £50 referral commission.
- A pub company operating five venues through one HouseDesk account = one £50 referral commission.
- Two genuinely separate businesses operating two separate paying HouseDesk accounts = potentially two £50 referral commissions.
HouseDesk may agree separate referral or commission arrangements for large groups, brewery groups, managed estates, enterprise customers or other significant commercial opportunities.
Any alternative commission arrangement must be agreed in writing.
7. Payment of Commission
Once a referral becomes a Qualifying Customer Account, the commission becomes eligible for payment.
To receive payment, you must submit a valid withdrawal or payment request through the HouseDesk referral dashboard (or another method HouseDesk accepts) with the payment information reasonably required.
HouseDesk will pay valid commission withdrawals within 30 days of receiving a valid withdrawal or payment request after the referral has qualified, except where payment is being reasonably withheld under these Terms due to suspected fraud, abuse, a payment reversal, compliance concerns or a genuine referral dispute.
Referral Partners may be asked to provide reasonable payment information, including their:
- name or business name;
- email address;
- bank or payment details; and
- invoice details where required.
HouseDesk may operate scheduled referral payment runs rather than paying each commission immediately when it qualifies.
No commission is payable until the conditions in these Terms have been satisfied.
8. Tax, National Insurance and VAT
Referral Partners participate in the programme independently and are responsible for declaring referral income and paying any Income Tax, Corporation Tax, National Insurance, VAT or other taxes which may apply to them.
HouseDesk does not deduct PAYE, Income Tax or National Insurance from standard Referral Programme payments unless legally required to do so.
If you are VAT registered, you are responsible for telling HouseDesk and supplying any invoice or VAT information reasonably required.
Unless HouseDesk agrees otherwise in writing, advertised referral commission amounts are inclusive of any VAT that may be applicable.
Nothing in these Terms constitutes tax advice.
9. Independent Referral Partner
Participation in the Referral Programme does not create an employment relationship between you and HouseDesk.
The Referral Programme does not require you to:
- work specified hours;
- make a minimum number of referrals;
- meet sales targets;
- work exclusively for HouseDesk; or
- carry out work when requested by HouseDesk.
You decide whether, when and how often you wish to make referrals.
You are not entitled to holiday pay, sick pay, pension contributions or other employee benefits as a result of participating in the Referral Programme.
Nothing in these Terms prevents you from working for, referring customers to or representing other businesses.
Nothing in these Terms is intended to override any employment or tax status which applies as a matter of law based on the actual relationship between the parties.
10. No Authority to Act for HouseDesk
Referral Partners are introducers only.
Unless HouseDesk specifically authorises you in writing, you must not:
- enter into contracts on behalf of HouseDesk;
- accept payments on behalf of HouseDesk;
- offer discounts or special pricing on behalf of HouseDesk;
- make contractual promises on behalf of HouseDesk;
- represent yourself as an employee of HouseDesk;
- claim that you have authority to bind HouseDesk; or
- make guarantees about HouseDesk's products, services or future features.
Potential customers should complete their subscription or commercial agreement directly with HouseDesk.
11. Marketing HouseDesk
You may tell potential customers about HouseDesk and share your referral link using reasonable and lawful marketing methods.
HouseDesk may:
- set reasonable marketing rules for the Referral Programme;
- provide compliance instructions;
- require you to stop a particular campaign or contact method;
- require reasonable evidence of your marketing compliance; and
- suspend or terminate your participation for non-compliant marketing.
You must only promote HouseDesk using lawful marketing methods. You must not use misleading, dishonest, aggressive or unlawful sales practices.
In particular, you must not:
- make false or misleading statements about HouseDesk;
- misrepresent HouseDesk's pricing, functionality or availability;
- create fake reviews or testimonials;
- impersonate HouseDesk or any member of its staff;
- use misleading websites, domains or social media accounts;
- conceal your identity or HouseDesk's identity;
- use misleading sender details;
- falsely claim a prior relationship with a prospect;
- use harassment, excessive contact or aggressive sales practices;
- send unlawful spam or other unlawful unsolicited electronic marketing;
- purchase or scrape contact databases where their use would breach applicable law;
- ignore requests from people or businesses not to be contacted; or
- use HouseDesk branding in a way that could reasonably damage the HouseDesk brand.
Referral Partners are responsible for ensuring that their own marketing activity complies with applicable laws and regulations.
Each party remains responsible for its own obligations under applicable law. Nothing in these Terms transfers all of HouseDesk's legal responsibilities to you, and nothing removes your responsibility for marketing you choose to carry out.
12. Email, Telephone and Direct Marketing
If you contact potential customers directly, you are responsible for complying with applicable direct marketing, privacy and electronic communications legislation, including the UK GDPR, Data Protection Act 2018 and Privacy and Electronic Communications Regulations where applicable.
Different rules may apply to limited companies, LLPs, sole traders, ordinary partnerships and individuals, and depending on whether you contact them by email, telephone, text message, direct message or another method. You are responsible for understanding the rules that apply to your chosen marketing method and audience.
You must not:
- send unlawful unsolicited electronic marketing;
- unlawfully contact sole traders or ordinary partnerships by email, text or direct message where that would breach applicable law;
- make unlawful automated calls;
- call numbers where marketing calls are prohibited, including where TPS/CTPS requirements apply;
- continue contacting anyone who has opted out or asked not to be contacted; or
- scrape or buy contact databases where their use would breach applicable law.
You must respect opt-out requests and must not continue marketing to somebody who has asked you to stop where doing so would be unlawful.
HouseDesk may immediately suspend a Referral Partner who uses the programme to conduct unlawful, excessive or inappropriate marketing.
13. Advertising and Affiliate Disclosure
Referral Partners who may receive commission have a commercial relationship with HouseDesk.
Where you create public promotional content about HouseDesk — including social media posts, videos, blogs or similar — you must clearly identify that content as advertising where required by applicable law or advertising rules.
For such content, include a clear and prominent disclosure such as Ad or #Ad (or another equally clear disclosure required in the relevant medium) so that it is obvious before or at the point the promotional claim or referral link is seen.
Do not rely on vague labels such as “partner”, “collab”, “affiliate” or “ambassador” where those labels do not clearly communicate that you may receive payment.
HouseDesk may require misleading or non-compliant promotional content to be amended or removed.
14. Customer Personal Information
The preferred method of referral is for you to provide the potential customer with your HouseDesk referral link and allow them to provide their own information directly to HouseDesk.
You should not provide HouseDesk with someone's private or personal contact information unless:
- they have agreed that you may make the introduction;
- there is another valid lawful basis for doing so; and
- doing so complies with applicable data protection law.
Where making a direct introduction by email or message, it is good practice to include the potential customer in the introduction.
Referral Partners must not collect sensitive personal information on behalf of HouseDesk.
15. HouseDesk Branding
HouseDesk may provide Referral Partners with logos, images, brochures, demonstration material or other marketing resources.
These materials remain the property of HouseDesk or their respective rights holders.
You may use approved HouseDesk marketing material solely for the purpose of making genuine referrals under this programme.
You must not materially alter HouseDesk branding in a misleading way or imply that your own business is HouseDesk.
Permission to use HouseDesk branding ends when your participation in the Referral Programme ends.
16. Fraud and Abuse
HouseDesk may reject or cancel referral commission where it reasonably believes that a referral involves:
- fraud;
- fake or duplicate accounts;
- self-referrals;
- collusion intended primarily to generate commission;
- stolen payment details;
- deliberately misleading marketing;
- abuse of promotional discounts;
- fabricated customer information; or
- another attempt to manipulate the Referral Programme.
HouseDesk may withhold payment while reasonably investigating suspected fraud or abuse.
Where commission has already been paid in relation to proven fraud or deliberate abuse, HouseDesk may require repayment or deduct the amount from future referral commission.
17. Customer Cancellations and Refunds
If a Customer Account cancels before becoming a Qualifying Customer Account, no referral commission will be payable.
If the Customer Account qualifies and commission has legitimately become payable, a later cancellation will not normally affect commission already earned.
However, HouseDesk may reverse commission where the qualifying customer payment is subsequently:
- refunded;
- charged back;
- reversed because of fraud; or
- otherwise found not to have been validly received.
18. Referral Dashboard and Tracking
Where HouseDesk provides a referral dashboard, statistics displayed in the dashboard are provided for convenience.
Referral statuses may include states such as pending, eligible, withdrawal requested and paid.
Analytics, cookie blocking, technical issues or customers using different devices can occasionally prevent automatic tracking.
If you believe a genuine referral has not been recorded correctly, you should contact HouseDesk with reasonable evidence of the introduction.
19. Changes to the Programme
HouseDesk may change:
- referral commission rates;
- qualification requirements;
- attribution periods;
- payment processes; or
- these Terms & Conditions.
Any change will apply prospectively and will not normally remove commission already earned by a referral which has already become a Qualifying Customer Account.
Where reasonably practical, significant changes will be communicated to active Referral Partners.
The Terms published by HouseDesk at the time of a new referral will normally apply to that referral.
Where these Terms change materially, HouseDesk may require you to accept the updated Terms before continuing to use the Referral Programme. Your original acceptance record will be retained for audit purposes.
20. Suspension or Termination
You may stop participating in the Referral Programme at any time.
HouseDesk may suspend or terminate a Referral Partner's participation at any time, particularly where there has been:
- suspected fraud;
- unlawful marketing;
- abuse of the programme;
- damage to HouseDesk's reputation;
- misleading statements to potential customers; or
- a serious breach of these Terms.
Ending participation does not normally remove legitimate commission already earned before termination.
Referrals that have not yet qualified at the date of termination may continue to qualify unless the termination resulted from fraud, abuse or a serious breach connected with those referrals.
21. Availability of HouseDesk
Participation in the Referral Programme does not guarantee that HouseDesk will accept every referred customer.
HouseDesk may refuse, suspend or terminate a customer's subscription in accordance with the applicable HouseDesk customer terms.
HouseDesk may also change its products, features, pricing and subscription plans from time to time.
22. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
Subject to this, HouseDesk will not be responsible for indirect or consequential losses arising solely from participation in the Referral Programme, including loss of anticipated commission from customers who do not ultimately qualify.
HouseDesk's liability for a disputed referral will not normally exceed the commission which would have been payable for that referral.
23. Governing Law
These Terms and any dispute arising from the HouseDesk Referral Partner Programme are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over disputes relating to these Terms, subject to any rights which cannot legally be excluded.

25. Acceptance
By joining the HouseDesk Referral Partner Programme, requesting a referral link or making a referral through the programme, you confirm that you have read and agree to these Terms & Conditions.
